JV Co. shall sub-license design and know-how in construction, operation and maintenance of IR Turbine to MPV Co.
("Sub-License") and MPV Co. shall procure necessary components by ordering them from SW in Germany ("Procurement"), construction, operation and maintenance will be subcontracted on License basis to local (Iranian) companies ("Construction", "Operation" and "Maintenance").
4.4.1 to acquire Sub-License from JV Co. for Construction, Operation and Maintenance of two IR Turbines
;4.7 MPV Co. will be obliged by its shareholders to develop the necessary insurance policies to cover all its obligations and services in relation to this Agreement and the License respectively the Sub-License.
As such, it shall operate and maintain the completed IR Turbines within the terms as set out in the License Agreement respectively the Sub-License Agreement.
